Un pharmacien, qui s’estime victime d’un mauvais conseil fiscal de la part d’une société spécialisée, décide de lui réclamer une indemnisation. Qu’en pense le juge ?


Quand « mal conseillé » rime avec « indemnisé »…

Décidé à acquérir une officine, un pharmacien a recours aux services d’une société spécialisée dans les transactions relatives à ce type de fonds de commerce.

Celle-ci lui propose alors un montage juridique complexe, impliquant la création de 2 sociétés et la souscription de divers prêts bancaires.

Estimant avoir été mal informé sur les conséquences juridiques, patrimoniales mais aussi fiscales de ce montage, le pharmacien décide, quelque temps plus tard, de lui réclamer une indemnisation…

Ce que lui refuse la société, qui rappelle que l’impôt auquel est légalement tenu le pharmacien ne constitue (justement) pas un préjudice indemnisable.

Certes, rétorque le pharmacien, mais il est malgré tout possible d’obtenir une indemnisation si l’on prouve qu’avec un conseil avisé, une solution alternative permettant d’échapper à cette taxation aurait pu être mise en place…

Et c’est justement le cas ici : s’il avait refusé la mise en place du montage proposé par la société, le pharmacien aurait pu échapper aux nombreuses contraintes de baisse de revenus, gel des liquidités dégagées et impositions et taxations immédiates diverses qu’il s’est vu dans l’obligation de régler.

Ce que constate aussi le juge : la société a dispensé un conseil inadapté au pharmacien, lui faisant perdre une chance d’adopter un montage plus judicieux afin d’échapper aux impositions qu’il a dû supporter.

Elle doit donc l’indemniser…
