Une société signe un contrat d’accès à Internet et de téléphonie avec un professionnel. Suite à plusieurs problèmes, la société demande à l’opérateur de l’indemniser… Mais celui-ci s’y refuse, et invoque pour se défendre une clause du contrat ! A tort ou à raison ?

Une société souscrit un contrat de téléphonie et d’accès à Internet avec un opérateur.

Suite à plusieurs problèmes de connexion et de téléphone, la société engage la responsabilité de l’opérateur, et lui réclame une indemnisation.

Que celui-ci lui refuse, en invoquant une clause du contrat qui l’exonère de sa responsabilité dans ce cas…

La clause en question prévoit qu’en cas de dysfonctionnements, l’opérateur ne devra indemniser la société que de certains préjudices, au titre desquels ne figure pas le préjudice commercial.

Or, d’après lui, c’est bien ce type de préjudice que fait valoir la société ici : il rappelle que celle-ci déplore, en effet, une perte de temps et des problèmes de communication avec ses clients.

« Mais cette clause est illégale » rétorque la société. Parce qu’elle limite à la fois le type de préjudices indemnisables et le montant de l’indemnisation due par l’opérateur, elle contrevient donc à l’obligation principale de l’opérateur de fournir les services payés, ce qui la rend nulle, selon la société.

Mais le juge lui donne tort ! Il considère que si la clause limite bien la nature et le montant du préjudice indemnisable, elle ne remet pas pour autant en cause l’obligation principale de l’opérateur d’exécuter correctement les prestations de fourniture d’accès à Internet, et de téléphonie.

Elle est donc valide, et permet au fournisseur de ne pas indemniser la société de son préjudice commercial !
