Lors d’une assemblée générale des associés, le gérant d’une SARL est révoqué. A tort, selon lui, étant donné que sa révocation ne figurait pas à l’ordre du jour… et que cela la rend donc trop brutale pour être valide…


Révocation prévisible = révocation valide

A la suite de plusieurs fautes de gestion, le gérant d’une SARL se voit révoqué de ses fonctions au cours d’une assemblée générale des associés.

Une anomalie, selon l’intéressé, étant donné que sa révocation ne figurait pas à l’ordre du jour de la réunion, ce qui est pourtant obligatoire.

Faute d’avoir été prévue ou du moins d’avoir été prévisible, la révocation doit donc, selon le gérant, être considérée comme brutale, et donner lieu à une indemnisation…

« Faux », rétorquent les associés, qui rappellent que les fautes reprochées au gérant et ayant mené à sa révocation étaient bien inscrites à l’ordre du jour de l’AG, et que celui-ci a pu faire part de ses observations à leur sujet au cours de la réunion.

D’autant, soulignent-ils, que ces irrégularités avaient déjà fait l’objet de questions préalables écrites adressées au gérant, auxquelles celui-ci n’avait pas répondu…

Dès lors, même si la révocation en tant que telle n’était pas inscrite à l’ordre du jour, elle demeure parfaitement valide.

Ce que confirme le juge, qui rejette la demande d’indemnisation de l’ex-gérant…
