L’ex-gérante d’une SARL est condamnée pour plusieurs infractions commises pendant son mandat. Sauf, relève-t-elle, que les fautes qui lui sont reprochées n’ont eu lieu qu’après la cessation de ses fonctions… et que cela change tout…


Pas de publication = pas de changement

Quelques mois après sa prise de fonction, la gérante d’une SARL est remplacée à ce poste par son compagnon.

Quelques temps plus tard, elle est condamnée pour diverses infractions commises au cours de son mandat, parmi lesquelles figurent un abus de bien social.

Pour mémoire, cette infraction est constituée dès lors qu’un gérant de société utilise, dans son propre intérêt, des biens ou des fonds de la société dans un usage qu’il sait contraire à l’intérêt de cette dernière.

Une condamnation irrégulière, selon l’ex-gérante, et pour cause : les fautes qui lui sont reprochées n’ont pas eu lieu pendant son mandat de gérance, mais postérieurement à la cessation de ses fonctions.

Sauf, tranche le juge, que l’ex-gérante n’a accompli les mesures de publicité obligatoires à l’occasion de sa fin de fonctions que plus d’un an après celle-ci : au moment des faits, elle restait donc, aux yeux des tiers, la gérante de la société.

De plus, poursuit le juge, le retard pris dans la publication du changement de gérant de la société était délibéré : en agissant de concert avec son compagnon, l’ex-gérante a ainsi pu conserver la direction effective de la société dans l’année qui a suivi sa fin de fonctions.

La condamnation de la dirigeante est donc parfaitement régulière.
