La règlementation applicable aux entreprises d’investissement a récemment évolué et vient d’être ajustée au niveau règlementaire. Voici ce qu’il faut retenir !


Entreprises d’investissement : un ajustement des dispositions règlementaires

Pour mémoire, la règlementation applicable aux entreprises d’investissement a récemment fait l’objet d’une réforme instaurant un nouveau cadre de supervision pour ce type d’entreprises, distinct de celui des banques auquel elles étaient jusqu’alors soumises.

Pour rappel, le statut d’« entreprise d’investissement » regroupe divers acteurs du secteur financier dont l’activité a trait :

  • au conseil en investissement ;
  • à la négociation pour compte propre ;
  • au courtage ;
  • et/ou à la gestion de plateformes de négociation.

Dans le cadre des nouvelles dispositions, les entreprises d’investissement sont désormais classées en 4 catégories différentes :

  • la catégorie S1, qui regroupe les plus grandes entreprises d’investissement (qui réalisent plus de 30 Mds d’€ de bilan) qui exercent des activités exposant leur bilan à des risques similaires à ceux des banques ;
  • la catégorie S1 bis, qui regroupe les entreprises d’investissement réalisant plus de 15 Mds d’€ de bilan et qui exercent, elles aussi, des activités qui exposent leur bilan à des risques similaires à ceux des banques ;
  • la catégorie S2, qui rassemble les entreprises d’investissement qui n’exercent pas d’activités qui exposent leur bilan à des risques similaires à ceux des banques ou dont la taille demeure modeste ;
  • la catégorie S3, qui regroupe les petites entreprises d’investissement qui ne sont pas interconnectées.

Dans le cadre de ces nouvelles dispositions, le code monétaire et financier vient de faire l’objet de nouvelles modifications règlementaires.

Il mentionne désormais l’ensemble des 4 catégories d’entreprises d’investissement et définit avec précision les missions de l’Autorité de contrôle prudentiel et de résolution, notamment en ce qui concerne sa collaboration avec l’Autorité européenne des marchés financiers.
