Prise en charge des cotisations sociales par la société : sous condition…

Les dividendes, qui correspondent à la part de bénéfices qui revient à un associé au prorata de ses droits dans le capital de la société, sont soumis à l’impôt sur le revenu et aux prélèvements sociaux.

Depuis 2013, la part de ces mêmes dividendes versés par une société soumise à l’impôt sur les sociétés (IS) perçus par l’associé travailleur indépendant (par exemple un gérant majoritaire de SARL) qui excède 10 % du capital social, des primes d’émission et des sommes versées en compte courant détenus par lui, est soumise aux cotisations sociales (au même titre qu’une rémunération).

Il a récemment été demandé au Gouvernement si ces cotisations sociales pouvaient être prises en charge par la société qui verse les dividendes (dite « société débitrice ») et, dans ce cas, si les sommes correspondantes étaient déductibles de son résultat imposable à l’IS.

La réponse est positive : si la société débitrice est une SARL, elle peut acquitter les cotisations sociales en lieu et place du gérant majoritaire, dans la mesure où leur prise en charge est prévue par les statuts, ou a été approuvée par l’assemblée générale.

Dans cette situation, les cotisations et contributions sociales sont assimilées à un supplément de rémunération, et sont effectivement déductibles du résultat imposable à l’IS de la société. Corrélativement, le dirigeant devra soumettre la somme correspondante (qui constitue pour lui un avantage) à l’impôt sur le revenu dans les conditions de droit commun.
