Désorganiser son concurrent = indemniser son concurrent

Une société placée en redressement judiciaire est cédée à un repreneur.

Une société concurrente, dont les offres de reprise de la société en difficulté ont toutes été rejetées, se met alors à débaucher les salariés du repreneur.

Une faute, selon celui-ci, qui souligne que cette débauche désorganise sa propre activité, et mérite donc une indemnisation.

« Non », rétorque la société concurrente qui, si elle reconnaît le débauchage, nie cependant avoir délibérément voulu désorganiser l’activité du repreneur.

Preuve en est, elle n’a débauché qu’un nombre très limité de salariés.

En outre, certains d’entre eux n’avaient qu’une très faible ancienneté : la société concurrente pensait donc, en toute bonne foi, que leur absence ne désorganiserait pas, de manière conséquente, l’activité du repreneur. Or, sans intention déloyale, pas de condamnation !

« Faux », tranche le juge : le simple fait de désorganiser l’activité d’un concurrent en débauchant ses salariés constitue un acte de concurrence déloyale, qui mérite indemnisation.

Peu importe, ici, que la société concurrente n’ait pas délibérément souhaité obtenir ce résultat…
