Engagement de caution : une histoire de signature

Un dirigeant refuse d’honorer son engagement de caution, considérant qu’il est nul : il rappelle que pour être valable, un engagement de caution suppose la reproduction manuscrite d’une formule légale, suivie d’une signature de la caution.

Une banque doit, au plus tard avant le 31 mars de chaque année, préciser à la caution le montant de son engagement (principal, intérêts, commissions, frais et accessoires) restant à courir au 31 décembre de l’année précédente, ainsi que le terme de cet engagement.

Si elle ne le fait pas, la banque ne peut pas réclamer au dirigeant les intérêts échus depuis la date à laquelle elle aurait dû l’informer. Et c’est à elle de prouver qu’elle a effectivement envoyé le courrier d’information annuelle.

Dans un litige avec un dirigeant qui s’est porté caution d’un emprunt bancaire souscrit par sa société, une banque a voulu démontrer qu’elle avait respecté son obligation d’information annuelle en produisant les courriers envoyés au dirigeant.

Sauf que, comme l’a fait remarquer le dirigeant, la seule production de la copie des courriers d’information est insuffisante pour démontrer que la banque a effectivement envoyé les courriers, et satisfait à son obligation d’information annuelle.

Ce que confirme le juge la banque ne pouvait donc pas réclamer les intérêts échus à la caution.
