Une SARL spécialisée dans l’activité de restauration sur place et à emporter est détenue à 100 % par une holding.

A la suite de sa mise en liquidation judiciaire, le liquidateur demande l’extension de cette procédure à la holding…

Pour mémoire, il est effectivement possible, pour le tribunal en charge de l’ouverture d’une procédure de liquidation judiciaire, d’étendre celle-ci à d’autres personnes en cas de confusion de leur patrimoine avec celui de l’entreprise visée par la procédure.

Ce qui est le cas ici, selon le liquidateur, qui souligne l’existence de flux financiers anormaux entre la SARL et sa holding, puisque la première a notamment effectué des paiements récurrents injustifiés sur plusieurs années au profit de la seconde.

« Justifiés, au contraire », rétorque la holding, qui précise avoir signé avec la SARL une convention de trésorerie, par laquelle elles s’engageaient à mettre à disposition l’une de l’autre leurs excédents de trésorerie en fonction des besoins et disponibilités de chacune d’elles.

« Une convention dont la date de signature n’est pas établie », rétorque le juge, qui souligne par ailleurs que la holding et la SARL disposent du même siège social et de la même dirigeante…

Puisqu’il existe bel et bien des flux de trésorerie anormaux entre les 2 sociétés qui rendent impossible la détermination de leur patrimoine respectif, la procédure de liquidation judiciaire doit donc effectivement être étendue à la holding.
