Une société civile immobilière consent un prêt à l’un de ses associés, qui refuse finalement de le rembourser… Selon lui, aucun document écrit n’a été établi, et la société n’est donc pas en mesure de prouver l’existence de ce prêt… Qu’en pense le juge ?


Emprunt d’un associé : attention au formalisme !

Une société civile immobilière (SCI) consent un prêt de 86 000 € à l’un de ses associés. Quelques années plus tard, elle lui réclame le remboursement de cette somme, qu’il refuse de payer…

Selon lui, puisqu’aucun document écrit n’a été établi, la SCI n’est pas en mesure de prouver l’existence d’un « prêt ». Il rappelle, en effet, que la preuve de l’existence et du contenu d’un contrat de prêt dont le montant est supérieur à 1 500 € ne peut être apportée que par écrit…

« Faux ! », rétorque la SCI qui précise que d’autres éléments permettent de confirmer cet emprunt, à savoir :

  • l’acquisition d’un immeuble par l’associé avec la somme en question ;
  • l’inscription de la somme au débit de son compte courant d’associé, non contestée par ce dernier ;
  • l’absence d’élément permettant d’affirmer que la somme est en réalité un don et non un prêt ;
  • l’approbation annuelle des comptes de la SCI, que l’associé n’a jamais critiquée, bien qu’il ait été dûment convoqué aux assemblées générales.

Des éléments qui prouvent que la SCI à bien consenti un prêt à son associé, confirme le juge : la somme de 86 000 € doit donc être remboursée à la société.
