Parce que les parts de la société ont été acquises avec des biens communs au couple, l’épouse d’un associé d’une société en nom collectif (SNC) décide de revendiquer, à son tour, la qualité d’associé. Ce que conteste le deuxième associé de la société, qui estime avoir tout de même son mot à dire…


Conjoint associé : si et seulement si…

Un couple marié sous un régime de communauté constitue, au cours de son mariage, une société en nom collectif (SNC), dont seul Monsieur détient les parts avec un autre associé.

Comme les parts de SNC ont été acquises avec des biens communs au couple, l’épouse décide, comme la Loi le lui permet, de revendiquer la qualité d’associé à hauteur de la moitié des parts détenues par son époux.

Sauf, rétorque le deuxième associé de la société, que personne ne s’est soucié de savoir s’il était d’accord : or, poursuit-il, l’épouse ne peut obtenir la qualité d’associé qu’à la condition qu’il y consente… ce qui n’a pas été le cas ici !

Ce que confirme le juge : au sein d’une SNC, l’épouse d’un associé commun en biens ne peut acquérir la qualité d’associé qu’à la condition que l’ensemble des autres associés y consentent.

Comme il n’y a qu’un seul autre associé ici, son consentement peut être recueilli sur un support écrit adressé à la société et annexé au procès-verbal relatif aux délibérations des associés… ce qui n’a pas été fait.

L’épouse voit donc sa demande rejetée…
