Un associé d’une société d’exercice libéral qui vend ses parts concomitamment à son départ en retraite peut-il bénéficier de l’abattement de 500 000 € pour le calcul de l’impôt dû à cette occasion ? Oui, sous conditions…


Vente de parts de société et abattement de 500 000 € = fonction de direction !

La vente de parts ou d’actions (de sociétés soumises à l’impôt sur les sociétés), réalisée à l’occasion d’un départ en retraite, bénéficie d’une fiscalité avantageuse : pour le calcul du gain imposable, il est tenu compte d’un abattement de 500 000 €. Le bénéfice de cet abattement suppose, entre autres conditions, que le cédant ait exercé des fonctions de direction dans la société dont il vend les parts, et ce pendant les 5 années précédant la vente et de manière continue.

Ce régime avantageux a fait l’objet de modifications depuis le 1er janvier 2018, à l’occasion de la mise en place de la Flat Tax qui prévoit la taxation des gains au taux forfaitaire de 30 % (12,8 % au titre de l’impôt sur le revenu et 17,2 % au titre des prélèvement sociaux).

Jusqu’au 31 décembre 2017, l’exercice d’une profession libérale dans une société d’exercice libéral à forme anonyme (SELAFA) ou à responsabilité limitée (SELARL) dont les parts sont vendues était assimilé à l’exercice d’une fonction de direction.

Ce n’est plus le cas depuis le 1er janvier 2018 : la condition d’exercice d’une fonction de direction (de manière continue pendant les 5 années précédant la vente) est applicable aux associés d’une société d’exercice libéral comme aux autres cédants.
