Suite au décès de l’un des associés d’une SCI, son héritier réclame le bénéfice des dividendes dont la décision de versement a été prise postérieurement au décès. Ce que lui refuse le juge. Pourquoi ?


SCI : un héritier non associé n’a pas droit aux dividendes !

En principe, le décès d’un associé de société civile immobilière (SCI) n’entraîne pas sa dissolution : la société continue avec ses héritiers ou ses légataires, sauf si ses statuts prévoient qu’ils doivent être agréés par les autres associés.

Dès lors, dans l’hypothèse où l’héritier ne devient pas associé, il n’aura droit qu’à la valeur des parts sociales du défunt. Il n’aura pas le droit de percevoir les dividendes correspondants, quand bien même la SCI aurait pris la décision de les verser avant la délivrance du legs des parts sociales au légataire institué par testament.

C’est précisément ce qui vient d’être rappelé par le juge à un héritier.

Dans cette affaire, à la suite du décès de l’un des associés d’une SCI, son héritier, qui n’a pas été agréé comme associé, a été chargé de délivrer le legs des parts sociales au légataire mentionné dans le testament du défunt.

Mais avant la délivrance de ce legs, la SCI a pris la décision de verser des dividendes aux associés, correspondant au prix de vente de 2 des biens immobiliers lui appartenant.

Des sommes qui lui reviennent légitimement, estime l’héritier, puisque la SCI a pris la décision de les verser avant qu’il n’ait délivré son legs au légataire.

« Non ! », conteste le juge : parce que l’héritier n’a pas lui-même été agréé comme associé, il ne peut pas prétendre aux dividendes versés entre le décès de l’associé et la délivrance du legs.
