Parce qu’il ne s’est pas exécuté dans les délais impartis, le président d’une société à actions simplifiées unique (SASU) se voit enjoint, par le juge, de déposer les comptes annuels de sa société auprès du tribunal.

A tort, selon l’intéressé, pour qui cette injonction porte atteinte à sa vie privée : parce qu’il est associé unique de la société, le dépôt des comptes de celle-ci suppose nécessairement, d’après lui, la révélation de sa situation patrimoniale.

Ce qui porte atteinte à son droit à la protection de ses données personnelles, estime-t-il…

« Faux » rétorque le juge : les comptes annuels de la SASU ne constituent qu’un des éléments nécessaires à la détermination de la valeur des actions possédées par l’associé unique, dont le calcul suppose le recours à d’autres critères, notamment de comparaison.

Par conséquent, le patrimoine de l’associé, qui est bien distinct de celui-ci de la société, n’est qu’indirectement et partiellement révélé à l’occasion du dépôt des comptes de la SASU. Ce qui constitue donc une atteinte parfaitement proportionnée au but légitime de détection et de prévention des difficultés des entreprises poursuivi par cette obligation.

Par conséquent, le président de la SASU doit déposer les comptes.
