Une SCI soumise à l’impôt sur le revenu achète plusieurs immeubles qu’elle revend par lots, ce qui suffit, pour l’administration fiscale, à considérer qu’elle exerce une activité de marchand de biens la rendant passible de l’impôt sur les sociétés. Ce que conteste la société. Qui a raison ?


Attention au caractère « habituel » des opérations d’achat-revente !

Une société civile immobilière (SCI) soumise à l’impôt sur le revenu achète 2 immeubles qu’elle revend, après avoir créé 14 lots.

Quelques temps plus tard, à l’occasion d’un contrôle fiscal portant sur 3 exercices clos, l’administration considère que cette opération d’achat-revente suffit à considérer que la SCI exerce non pas une activité civile, mais une activité de marchand de biens, la rendant passible de l’impôt sur les sociétés, et non pas de l’impôt sur le revenu.

Elle rappelle à cette occasion que la qualité de « marchand de biens » suppose que les opérations d’achat-revente démontrent une intention spéculative et présentent un caractère habituel, ce qui est bien le cas ici.

« Non » conteste la société : si elle a bien procédé à des reventes de lots au titre des 2 premiers exercices clos contrôlés, elle ne s’est livrée à aucune opération de cette nature au titre du 3ème exercice.

Puisque la condition d’habitude n’est pas remplie, la SCI n’est pas un marchand de biens et l’administration fiscale ne peut pas lui réclamer le paiement de l’impôt sur les sociétés.

Une position que ne partage malheureusement pas le juge : le seul fait qu’au cours du 3ème exercice contrôlé la SCI ne se soit livrée à aucune opération de revente ne suffit pas à écarter la qualification de marchand de biens.

Le redressement fiscal est donc maintenu.
