Le gérant d’une société en crée une seconde qui va exercer la même activité que la première. Une situation qui conduit ses associés à le poursuivre pour acte de concurrence déloyale. Ce que conteste le gérant : ils étaient parfaitement informés de cette situation…


Pas de concurrence déloyale, si…

Le gérant d’une société se voit attaqué par ses associés au motif qu’il a créé une société concurrente qui intervient sur les mêmes marchés. Pour les associés, un gérant est par principe tenu d’une obligation de loyauté et de fidélité qui lui interdit de négocier, pour le compte d’une autre société, un marché dans le même domaine d’activité.

Certes, reconnaît le gérant, mais il rappelle tout de même que l’existence de cette activité concurrente a été portée à leur connaissance et qu’ils ont exprimé de façon non équivoque leur assentiment à ce mode de fonctionnement. Cette situation a d’ailleurs fait l’objet d’une décision unanime des associés qui ont donc validé la création par le gérant d’une activité concurrente (même si elle n’a pas été formalisée dans le cadre d’une assemblée générale).

Et, pour le juge, le gérant d’une société qui, durant son mandat, exerce, à titre personnel ou par l’intermédiaire d’une autre société, une activité concurrente de celle de la société qu’il dirige ne manque pas à son devoir de loyauté et n’engage effectivement pas sa responsabilité envers celle-ci s’il a reçu, pour ce faire, l’autorisation unanime des associés.
