Suite à sa mise en redressement judiciaire, une société s’engage à régler l’un de ses créanciers, avec lequel elle a convenu d’une remise de dette. Mais celui-ci change d’avis, et décide finalement de réclamer le montant initial de sa créance … A raison ?


Ouverture d’une procédure collective = fin des négociations

Suite à la mise en redressement judiciaire d’une société, l’un de ses clients, dont les prestations de nettoyage sont restées impayées, déclare une créance de 250 000 €.

Par la suite, la société et son créancier signent un accord transactionnel, prévoyant une remise de dette, dans lequel elle s’engage à lui rembourser le montant de 100 000 €.

Mais le créancier change d’avis, et réclame finalement le montant initial de sa créance de 250 000 €…

Selon lui, la transaction prévoyant la remise de dette est nulle, car elle a été signée après la mise en place du redressement judiciaire de la société. Or, à compter de l’ouverture de cette procédure, la société a l’interdiction de payer ses dettes… Ce qu’elle s’est pourtant engagée à faire, en signant l’accord en question !

Ce que confirme le juge : il rappelle que le jugement d’ouverture d’une procédure collective (sauvegarde, redressement ou liquidation judiciaire) emporte l’interdiction, pour la société, de payer toute créance née antérieurement à la procédure.

Puisqu’ici la transaction a été passée entre la société et son créancier après l’ouverture du redressement judiciaire, elle est illicite : le montant de la créance retenue est donc bien de 250 000 €.
