Suite à sa mise en redressement judiciaire, une société locataire d’un local commercial cesse de payer son loyer, tout en se maintenant dans les lieux, ce qui pousse le bailleur à demander la résiliation du bail. Va-t-il l’obtenir ?


Clause résolutoire ≠ résiliation de plein droit

Une société, locataire d’un local commercial, est mise en redressement judiciaire. A compter de cette date, elle cesse de régler ses loyers tout en continuant à occuper les lieux…ce qui pousse le bailleur à saisir le juge pour demander la résiliation du bail.

« Trop vite ! » répond la société locataire, qui rappelle que pour faire jouer la clause de résiliation prévue dans le bail en cas d’impayés de loyers (appelée « clause résolutoire »), le bailleur doit d’abord délivrer un commandement de payer… ce qu’il n’a pas fait ! Par conséquent, la demande de résiliation du bail n’est pas valable.

Sauf qu’ici, le bailleur ne demande pas l’application de la clause résolutoire, mais la résiliation de plein droit du bail, rappelle le juge.

Et cela change tout puisque la résiliation du bail est acquise lorsqu’un bailleur prouve que son locataire a cessé de payer son loyer pendant plus de trois mois suite à sa mise en redressement judiciaire, tout en continuant à occuper le bien.

Le bailleur n’ayant pas à délivrer de commandement de payer préalable, le contrat de bail est bel et bien résilié !
