Le locataire d’un terrain nu, sur lequel il a édifié des constructions, se voit refuser le renouvellement de son bail commercial. Mais le bailleur refuse aussi de lui verser une indemnité d’éviction, au motif qu’il n’est pas immatriculé au registre du commerce et des sociétés… A raison ?


Défaut d’immatriculation = pas d’indemnité d’éviction !

Une société a signé un bail commercial pour la location d’un terrain nu sur lequel elle a elle-même édifié des constructions.

Au terme du contrat, le bailleur refuse non seulement de renouveler son bail, mais aussi de lui verser une indemnité d’éviction : il constate, en effet, qu’au moment de la délivrance du congé, le locataire n’était pas immatriculé au registre du commerce et des sociétés (RCS).

Or, rappelle le bailleur, cette immatriculation est normalement obligatoire pour bénéficier du statut des baux commerciaux, et donc pour percevoir une indemnité d’éviction en l’absence de renouvellement du bail.

« Pas dans mon cas ! », conteste la société. Pour elle, seuls les locataires de locaux commerciaux doivent être immatriculés au RCS pour obtenir une indemnité d’éviction. Or, dans son cas, le bail commercial concerne la location d’un terrain nu. Elle estime donc qu’elle n’a pas besoin d’être immatriculée au RCS pour obtenir une indemnité d’éviction.

« Faux », répond le juge :comme n’importe quel locataire commercial, la société doit être immatriculée au RCS pour obtenir une indemnité d’éviction. Puisque ce n’est pas le cas ici, elle ne peut pas y prétendre !
